INSUREU2 AI – MASTER SAAS TERMS

1. Overview

These Master Software as a Service Terms (“Master Terms”) govern access to and use of services provided by IU2 Technology LLC d/b/a INSUREU2 AI (“Provider”).

These Terms form part of a binding agreement between Provider and the client (“Client”) (collectively, the “Agreement”).

2. Agreement Structure

This Agreement (the “Agreement Set”) consists of the following:

  • The applicable Order Form
  • These Master SaaS Terms
  • The End User License Agreement (EULA)
  • Any referenced schedules, appendices, or policies

In the event of a conflict, the order of precedence is:

  1. Order Form
  2. Master SaaS Terms
  3. EULA
  4. Supporting documentation

Marketing materials and demonstrations are non-binding unless explicitly stated in writing.

3. Purpose of Services

The Agreement governs Client’s access to and use of Provider’s proprietary software platform, including:

  • Real-time guidance systems
  • Conversation intelligence tools
  • Analytics and reporting features
  • Related applications and services

(collectively, the “Services”).

4. Acceptance of Terms

This Agreement becomes binding when Client:

  • Signs an Order Form
  • Clicks to accept via an electronic acceptance flow (clickwrap or similar)
  • Accesses or uses the Services after being presented with these Terms or a link to them

If Client does not agree to these Terms, Client must not access or use the Services.

5. Authority to Bind

The individual accepting this Agreement on behalf of the Client represents and warrants that they have full legal authority to bind the Client to these Terms.

6. Use of Services & Restrictions

Client agrees to comply with all applicable terms outlined in the End User License Agreement (EULA), including but not limited to:

  • No unauthorized credential sharing
  • No access by competitors or for competitive analysis
  • No reverse engineering or benchmarking
  • Compliance with all acceptable use policies

Violation of these terms may result in suspension or termination of access.

7. Purchase Orders

Any purchase order issued by Client is for administrative purposes only.

All terms contained in any purchase order are void and have no legal effect, and the Agreement Set exclusively governs all Services provided.

8. Utilization-Based Commitment Flexibility

INSUREU2 AI is committed to delivering measurable operational value.

If Client achieves a software utilization rate of 80% or greater within the first six (6) months of the initial twelve (12) month term:

  • Client may elect to terminate the agreement without penalty at that time
  • Written notice must be provided within thirty (30) days of the six-month milestone
  • All fees incurred through the termination date remain payable

Utilization is determined based on platform-generated system data reflecting active engagement and usage.

9. Governing Terms

All access to and use of the Services is governed exclusively by the Agreement Set.

No external documents, communications, or representations modify this Agreement unless expressly agreed to in writing.
